Selection of independent board members announced

UAB EPSO-G managing the group of electricity and gas transmission system operators and operators of energy resource and natural gas exchanges has announced selection of three independent board members. The plan is to approve a new board of the company for a four-year term of office in October of this year.

“We seek to bring together in new the Board professionals having acquired significant management experience, who will be responsible for efficient and quality operations of the Group and national energy projects under implementation. The majority of Board members (3 out of 5) will be independent members. One of the main tasks of the Board will be the approval of Group strategy as soon as this year, which will define development directions of EPSO-G Group till 2020”, – emphasized Viktorija Trimbel, the Chair of the Supervisory Board of EPSO-G Group.

To assure quality work of the management, in addition to prerequisite requirements, candidates are also expected to have special competences - corporate management knowledge, experience in corporate strategic planning and/or development of organizations as well as implementation of organizational changes, successful implementation of strategic goals, sustainable increase of the company’s value and assurance of return to shareholders.

Moreover, candidates must be well familiar with European Union, national and regional strategic energy goals, have in-depth knowledge of regulatory principles of regulated market and activities of the energy sector.

In 2015, EPSO-G corporate management guidelines were approved, based on which governance of EPSO-G Group is being reformed according to the most advanced recommendations of international organizations. Corporate governance reform is aimed at achieving efficient state control through professional management. Management in the Boards of EPSO-G and its subsidiaries has been entrusted to professional managers and independent members.

In June of this year, the Supervisory Board was elected, where 2 out of 5 members are independent, with one of them being the Chair of the Supervisory Board Viktorija Trimbel.
